Terms of Service

1. Acceptance of Terms

By accessing or using the Link123 application and services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We may update these Terms from time to time, particularly during the beta period. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Service after any changes indicates your acceptance of the new Terms. We encourage you to review this page periodically.

2. Description of Service

Link123 is a personal knowledge management and social discovery platform that enables you to:

• Store, organize, and connect various types of personal content (notes, bookmarks, contacts, media, voice memos, and more — 12 content types in total).
• Build a personal knowledge graph that reveals connections between your information.
• Discover people with shared interests and complementary knowledge.
• Communicate with other users through end-to-end encrypted messaging.
• Protect sensitive content with end-to-end encryption (E2EE).
• Use AI-powered tools to create, analyze, summarize, and transform content.
• Generate narration audio, subtitles, and AI avatar videos.
• Publish content to external platforms (e.g., X/Twitter).

3. Beta Service

The Service is currently provided as a beta version. By using the beta Service, you acknowledge and agree that:

• The Service may contain bugs, errors, or incomplete features that may be fixed, changed, or removed at any time.
• Features and functionality may be added, modified, or discontinued without prior notice.
• Service availability may be interrupted for maintenance, updates, or unforeseen issues.
• Data handling practices may be refined as the Service matures, subject to our Privacy Policy.
• Your feedback during the beta period is welcome and appreciated at info@link123.ie.

4. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate and complete registration information (email or phone number).
• Maintain the security of your account credentials. You are responsible for all activity under your account.
• Notify us immediately of any unauthorized use of your account.
• Not create accounts for others without their permission.
• Not create multiple accounts for deceptive or abusive purposes.

You must be at least 16 years old in the EU/EEA (or the applicable minimum age in your jurisdiction) to create an account.

5. User Content

5.1 Ownership

You retain full ownership of all content you create, upload, or store on the Service ("User Content"). Link123 does not claim ownership of your content.

5.2 License Grant

By uploading or sharing User Content, you grant Link123 a limited, non-exclusive, revocable, worldwide license to store, transmit, and display your content solely for the purpose of operating and providing the Service. For content you choose to encrypt, this license applies only to the encrypted ciphertext (we cannot access the plaintext). We do not use your content to train machine learning models, generate derivative works, or license it to third parties.

5.3 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• You have the right to create, upload, and share the content.
• Your content does not infringe upon the intellectual property or other rights of any third party.
• Your content complies with all applicable laws and regulations.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or these Terms.
• Infringe upon the intellectual property rights of others.
• Harass, threaten, impersonate, or intimidate other users.
• Distribute malware, viruses, or other harmful software.
• Send spam, unsolicited messages, or bulk communications.
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems.
• Interfere with or disrupt the Service or servers or networks connected to the Service.
• Use automated means (bots, scrapers, crawlers) to access the Service without our prior written permission.
• Upload or distribute content that is illegal, defamatory, obscene, or harmful to minors.
• Create multiple accounts to exploit referral rewards or service quotas.

7. End-to-End Encryption

The Service offers optional end-to-end encryption for your content and messaging. By using E2EE features, you acknowledge that:

• You are responsible for your encryption keys. Encryption keys are derived from your account credentials and managed on your device. We do not have access to your keys.
• Data recovery is limited. If you lose access to your account and have no recovery mechanism set up, encrypted content cannot be recovered. We cannot decrypt your data.
• Encryption is permanent. Once content is encrypted, the E2EE protection cannot be disabled for that content.
• Legal compliance. E2EE does not exempt you from legal obligations. You remain responsible for ensuring your content complies with applicable laws.

8. AI Features

The Service includes AI-powered features for content creation, analysis, and assistance. These features are powered by third-party AI providers including OpenAI, Google Cloud AI, Fish Audio, and HeyGen. By using AI features, you acknowledge that:

• No accuracy guarantee: AI-generated content may not always be accurate, complete, or appropriate. AI models may produce incorrect or misleading outputs ("hallucinations"). You are responsible for reviewing and verifying all AI outputs before use.
• Third-party processing: Content you submit to AI features is processed by third-party AI service providers. See our Privacy Policy Section 5 for details on which providers are used and how data is handled.
• Content ownership: You retain ownership of AI-assisted content you create.
• Service changes: AI features are provided "as is" and may be modified, improved, or discontinued as we refine the Service.
• Usage limits: AI features are subject to usage quotas that vary by account tier (Free / VIP / Premium). Exceeding your quota may temporarily restrict access to AI features until the next billing period.

9. External Platform Publishing

The Service allows you to publish content to external platforms (such as X/Twitter) through authorized API integrations. By using these features:

• You authorize Link123 to post content on your behalf to connected platforms using your linked account credentials.
• You are responsible for complying with the terms of service of the external platform.
• Published content is subject to the privacy policies and data practices of the external platform.
• Publishing quotas apply and vary by account tier.

10. Intellectual Property

The Service, including its design, features, logos, and code (excluding User Content), is the property of Link123 and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our prior written consent.

11. Termination

You may terminate your account at any time through the app settings. Upon termination:

• Your data will be deleted in accordance with our Privacy Policy.
• Your encrypted data will be permanently inaccessible once deletion is complete.
• Shared content that has been forwarded by other users may persist in their accounts.
• Content published to external platforms (e.g., X/Twitter) will not be automatically removed.

We may suspend or terminate your account if you violate these Terms, engage in fraudulent or illegal activity, or if required by law. We will make reasonable efforts to provide notice where feasible.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

As a beta service, we do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy or completeness of any content on the Service, including AI-generated content.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LINK123, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use of or inability to use the Service.
• Any unauthorized access to or alteration of your transmissions or data.
• Loss of encrypted data due to lost account credentials or recovery information.
• Inaccurate, misleading, or harmful AI-generated content.
• Content published to external platforms on your behalf.
• Any third-party conduct on the Service.
• Service interruptions or data loss during the beta period.

14. Force Majeure

Link123 shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to: natural disasters, wars, government actions, third-party infrastructure failures (e.g., cloud hosting, DNS, ISP outages), cyberattacks, pandemic, or supply chain disruptions. If such an event persists for more than 30 days, you may terminate your account and export your non-encrypted data.

15. Indemnification

You agree to indemnify and hold harmless Link123 and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes may be submitted to the courts of Ireland.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Link123 regarding your use of the Service and supersede any prior agreements.
